Welcome to Negosyo Manager (the "App"), a business-management application by Paldomz Systems ("we," "us," "our"). By using the App, you agree to these Terms of Service. If you do not agree, please do not use the App.

1. What Negosyo Manager Is

Negosyo Manager is a browser-based tool that helps small businesses record sales, inventory, receivables (utang), expenses, staff, orders, customers, and printable receipts. It is a record-keeping and management aid — it is not accounting, bookkeeping, tax, legal, or financial advice, and it is not a substitute for a licensed accountant or the requirements of the Bureau of Internal Revenue (BIR) or any other authority. You remain solely responsible for the accuracy of your records and for your own tax and regulatory compliance.

2. Your Data Stays on Your Device

The App stores your business data locally in your own browser, on your own device. We do not host, collect, or back up your data on our servers. This means:

• Your data is private to your device by design.
• If you clear your browser data, uninstall your browser, or lose your device, your data may be permanently lost.
• You are responsible for using the App's backup/export feature regularly to keep your own copies.

We cannot recover data that is lost from your device, because we never have it.

3. License

We grant you a personal, non-exclusive, non-transferable, revocable license to use the App for your own business use. You may not resell, redistribute, sublicense, rent, or share the App or any license key, nor copy, decompile, or reverse-engineer it, except where such restriction is prohibited by law.

4. Free and Pro Plans

The App offers a Free plan and a paid Pro plan. New users receive a 14-day Pro trial; after it ends, you may continue on the Free plan indefinitely or upgrade to Pro. Pro is offered as a monthly subscription or a one-time lifetime purchase, priced in Philippine Pesos (₱). Features included in each plan are described on our website and may change as the App evolves.

5. Acceptable Use

You agree not to use the App for any unlawful purpose, to store data you have no right to store, or to attempt to disrupt, misuse, or gain unauthorized access to the App. You are responsible for keeping any device PIN or password you set within the App.

6. Intellectual Property

The App, its design, code, content, and branding are owned by Paldomz Systems and protected by law. The business records you create with the App belong to you.

7. Disclaimers

The App is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose. We do not guarantee that the App will be error-free, uninterrupted, or that any calculation, report, or figure it produces is accurate or suitable for your needs. Always verify important figures yourself.

8. Limitation of Liability

To the maximum extent permitted by law, Paldomz Systems shall not be liable for any indirect, incidental, or consequential damages, or for any loss of data, profits, or business, arising from your use of — or inability to use — the App, including data loss from your own device. Our total liability for any claim shall not exceed the amount you paid us for the App in the 12 months before the claim.

9. Termination

You may stop using the App at any time. We may suspend or end access if these Terms are violated. Because your data lives on your device, ending use does not delete your local data — you control that.

10. Changes to These Terms

We may update these Terms from time to time. Continued use of the App after changes take effect means you accept the updated Terms.

11. Governing Law

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law rules.
